TERMS OF SERVICE AND AGREEMENT

Welcome to EdenVuna, a precision agriculture SaaS platform designed for smallholder farmers, agronomists, and agricultural cooperatives. These Terms of Service ("Terms" or "Agreement") constitute a legally binding contract between Edenic Technologies Company (T) Ltd. ("Company," "we," "us," or "our"), a corporate entity incorporated under the laws of the United Republic of Tanzania, and you ("User," "you," or "your," whether registering as an individual farmer, cooperative administrator, or representative of an enterprise).

By registering an account, accessing, or otherwise using the EdenVuna software application, website, API services, and the agricultural AI assistant known as "Adam" (collectively, the "Service"), you agree to be bound by all of the terms, conditions, policies, and notices contained or referenced in this Agreement.

1. ACCEPTANCE OF TERMS AND AGREEMENT TO BOUND

By creating an account or accessing the Service, you signify your irrevocable consent and agreement to these Terms. If you do not agree with any provision of these Terms, you are prohibited from utilizing, viewing, or accessing the Service. We reserve the absolute right, at our sole discretion, to modify, amend, add, or remove portions of these Terms at any time. Any changes will be posted within the application and will take effect immediately upon posting. Your continued use of the Service following the posting of changes constitutes your binding acceptance of such modifications.

2. SERVICE DESCRIPTION AND SCOPE

EdenVuna is a digital agricultural intelligence service that offers:

• Crop Tracking and Stage Monitoring: Precision tracking of crop life cycles based on environmental inputs.
• Hyper-Local Weather Forecasts: Aggregated meteorological data combined with specialized farming recommendations.
• Soil Diagnostics and Widget Integration: Technical breakdowns of soil attributes (pH, moisture, texture, and organic matter).
• Farming Task Management: Dynamic scheduling of irrigation, pesticide spraying, fertilization, and harvesting activities.
• AI Agricultural Assistant ("Adam"): A specialized conversational interface providing general agricultural advice.

We make no guarantee regarding the continuous availability of any specific feature. The Service is subject to updates, upgrades, patches, and modifications, which may occur automatically without prior notice.

3. USER ELIGIBILITY AND ACCOUNT SECURITY

To register for an account and access the Service, you must satisfy the following criteria:

1. You must be at least eighteen (18) years of age, or the legal age of majority in your jurisdiction.
2. You must possess the legal capacity to enter into a binding contract.
3. All registration information you submit must be truthful, accurate, current, and complete.
4. You are solely responsible for maintaining the confidentiality of your account credentials (including usernames and passwords) and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or security breach. The Company will not be liable for any losses or damages caused by unauthorized access to your account.

4. FEES, SUBSCRIPTIONS, AND PAYMENTS

• Subscription Plans: Certain premium features of the Service require a paid subscription. Details of our subscription tiers, limits, and pricing are available on the pricing page.
• Token Purchases: Users may purchase digital tokens to interact with the AI assistant ("Adam") beyond the daily free tier limit.
• Payment Gateway: All payments are securely processed through Pesapal and authorized local mobile money systems (such as M-Pesa, Tigo Pesa, Airtel Money, Halopesa) or credit/debit cards.
• Currency and Exchange Rates: Fees are billed in Tanzanian Shillings (TZS) or United States Dollars (USD) depending on your locale. You are responsible for any payment processor fees or currency conversion charges.
• Refund Policy: Except as required by applicable Tanzanian consumer protection laws, all payments for subscriptions and tokens are strictly non-refundable.

5. AGRICULTURAL AI ASSISTANT ("ADAM") AND GENERAL ADVISORY DISCLAIMER

[!WARNING] CRITICAL LEGAL NOTICE ON AI ADVICE The agricultural advice, pest identifications, soil treatment recommendations, cultivation guides, and weather interpretations provided by the conversational AI assistant "Adam" are generated automatically by machine learning algorithms. They are intended solely for general informational and educational purposes.

• No Human Expert Substitution: Adam does not replace professional, qualified agronomic, soil science, or veterinary consulting.
• No Warranty of Yields: We do not guarantee, represent, or warrant that following Adam's recommendations will result in successful crop yields, pest eradication, soil improvement, or financial profitability.
• User Risk Assumption: Farming decisions involve substantial risks (including weather variability, biological mutations, and market price fluctuations). You assume all liability and risk for decisions made based on AI-generated responses.
• Verification Requirement: You are strongly advised to consult certified local agricultural extension officers (Maafisa Ugani) or registered Bwana Shamba experts before undertaking any high-risk farming operations, massive pesticide applications, or major financial investments.

6. INTELLECTUAL PROPERTY AND DATA LICENSE

• Vuna Proprietary Rights: All software, code, algorithms, visual designs, databases, agricultural templates, trade names, and intellectual property associated with the Service are the exclusive property of Edenic Technologies Company (T) Ltd.
• Farmer Data Ownership: You retain all ownership rights, including intellectual property rights, in the raw data you input into the Service, such as GPS coordinates, farm sizes, crop lists, and soil parameters.
• License Grant to Company: By inputting data, you grant us a worldwide, royalty-free, perpetual, sublicensable, and non-exclusive license to compile, analyze, aggregate, and anonymize your farm data. We use this aggregated data to train our machine learning models, optimize crop recommendations, generate regional analytics, and improve the Service. We will never sell your personal information or identifiable farm coordinates to third parties.

7. PROHIBITED USES AND SYSTEM SAFEGUARDS

You agree not to engage in any of the following prohibited behaviors:

• Reverse-engineering, decompiling, or attempting to extract the source code of Vuna or the AI assistant.
• Using automated scripts, bots, scrapers, or other tools to bypass rate limits or systematically copy the database.
• Filing false reports or abusing customer support channels.
• Inputting illegal, harmful, offensive, or malicious content into the AI chat or farm log.
• Bypassing Row-Level Security (RLS) policies or attempting to access data belonging to other farmers.

Violations of this section will result in immediate account termination, forfeiture of purchased tokens, and potential civil or criminal prosecution.

8. INDEMNIFICATION AND LIMITATION OF LIABILITY

To the maximum extent permitted by the laws of the United Republic of Tanzania:

• Disclaimer of Warranties: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
• Limitation of Liability: In no event shall the Company, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of crop yield, soil degradation, financial losses, or data corruption.
• Maximum Liability Cap: Our total liability for any claim arising out of or relating to this Agreement or the Service shall not exceed the total fees paid by you to the Company in the twelve (12) months preceding the event giving rise to the liability.
• Indemnification: You agree to defend, indemnify, and hold harmless the Company from and against any third-party claims, damages, losses, or costs arising from your breach of these Terms, your misuse of the Service, or your violation of third-party rights.

9. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the United Republic of Tanzania, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, including their validity, breach, or termination, shall be resolved amicably through good-faith negotiations.

If negotiations fail to yield a resolution within forty-five (45) days, the dispute shall be submitted to and finally resolved by the competent courts of law in Dar es Salaam, Tanzania, which shall have exclusive jurisdiction over all proceedings.

10. SEVERABILITY AND ENTIRE AGREEMENT

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of the Terms will remain in full force and effect. These Terms, together with our Privacy Policy and any subscription agreements, constitute the entire agreement between you and the Company regarding the Service.
